The Powers of the Organisation
Powers of the Management Committee
1.1. The Name of the Organisation shall be WOKINGHAM JOB SUPPORT CENTRE, hereinafter referred to as the Organisation.
1.2. The Organisation is registered with the Charity Commissioners as a Charity and has the Registration Number: 1039801.
1.3. The Objects of the Organisation are to advance the education and training of persons in Wokingham and District who are in need and unable to gain employment, in particular, through the supervised provision of services and facilities not otherwise provided by the Employment Service.
In furtherance of the Objects, but not otherwise, the Organisation shall have the following powers:
2.1. To hold a General Meeting annually.
2.2. To convene an Extra-ordinary General Meeting when necessary.
2.3. To elect Officers and Members to a Management Committee.
2.4. To appoint an Independent Examiner.
2.5. To control the distribution of assets on dissolution of the Organisation (See 7.9)
2.6. To delegate all other functions to the Management Committee.
2.7. To offer help and guidance with skills such as responding to advertisements, letter writing, job applications, CV preparation, interview techniques, telephone usage.
2.8. To provide facilities such as telephones, fax, word processors, photocopier, stationery, stamps, trade directories, newspapers, journals etc.
2.9. To give information on funding / sponsorship for training courses, referral to agencies offering specialised help such as careers guidance, enterprise initiatives etc.
2.10. To take initiatives for job creation including liaison with local organisations and the business community to discuss areas of possible development.
2.11. To provide a professional environment with a supportive and friendly atmosphere in which to maintain a positive and constructive attitude to finding employment.
2.12. To do all such other lawful things as are necessary for the achievement of the objects.
3.1. Membership of Wokingham Job Support Centre will be open to users of the Centre and individuals and organisations who have an interest in unemployed people and those who wish to contribute in a positive way to the support and development of the Centre.
3.2. Membership with voting rights at General Meetings will be automatically available to Members of the Management Committee. Clients of Wokingham Job Support Centre and other interested people are eligible for membership with voting rights at General Meetings on completion of Wokingham Job Support Centre membership registration form.
3.3. No annual subscription shall be payable.
4.1. The Management Committee shall be composed of the following categories:
a) Executive Officers
b) Elected Members
c) Co-opted Members
d) Representative Members
4.2. Executive Officers - Four persons shall be elected by majority vote at a General Meeting of the Organisation to assume the responsibilities of Office as Chairman, Vice-Chairman, Secretary and Treasurer. Officers shall normally be elected to serve a term of office of one year but may be re-elected for further terms of office. In the event of an Officer resigning part way through his or her term of office, a temporary replacement shall be chosen by the Management Committee at the first meeting following the Officer's resignation.
4.3. Elected Members - Four additional persons shall be elected by majority vote at a General Meeting of the Organisation to assume responsibilities of elected Members of the Management Committee. Members shall normally be elected to serve for a period of one year but may be re-elected for further periods.
4.4. Co-opted Members - Such persons as the Management Committee may wish to co-opt up to a maximum of two shall become Members of the Management Committee until the next General Meeting of the Organisation.
4.5. Representative Members - Organisations supportive of the Aims and Objects of Wokingham Job Support Centre, up to a maximum of eight, may nominate a representative to the Management Committee.
4.6. Voting Rights - All Members of the Management Committee have an equal right to vote. If necessary, the Chairman of the meeting has an additional casting vote.
The Management Committee shall have powers in general to manage Wokingham Job Support Centre and in particular to:
5.1. Act as Trustees.
5.2. Purchase and take on lease such premises, property and equipment as may be required. Engage and discharge Staff.
5.3. Receive monies from whatever source, invest funds and make payments in compliance with the limitations specified by current charity law.
5.4. Ensure usage is controlled in a correct manner for the genuinely unemployed.
5.5. Organise fund raising.
5.6. Co-opt additional committee members at its discretion.
5.7. Convene an Extra-ordinary General Meeting when necessary.
5.8. Appoint and prescribe the functions and membership of Sub-Committees, as necessary, providing that all such sub-committees report back to the Management Committee before any decision with regard to budgetary matters is taken.
5.9. Remove any member of the Management Committee deemed by a majority vote of the Committee to be unworthy of his or her position, provided that the member has a right to be heard before a decision is made.
5.10. Control costs according to the annually agreed budget.
6.1. The Annual General Meeting of the Organisation shall be held before the last day of July of that year, at which reports shall be received from the Chairman and Treasurer. Elections shall be held and the appointment of an independent examiner confirmed.
6.2. An Extra-ordinary General Meeting shall be convened at any time at the request of six members of the Organisation. Such a meeting shall be held within thirty days of the request being received.
6.3 General Meetings shall be advised to members of Wokingham Job Support Centre, giving at least fourteen days notice of the date, time and place of the meeting and the nature of the business to be transacted. An attendance of six members of the Management Committee shall constitute a quorum.
6.4. Management Committee Meetings shall be held quarterly and more often as required. Reasonable notice of the date, time and place of the Meeting shall be advised to all Members of the Management Committee. An attendance of four elected members, at least two of whom shall be Officers, shall constitute a quorum.
6.5. Minutes shall be recorded at all meetings.
6.6. A Financial Statement shall be presented at each Management Committee Meeting.
7.1. All income shall be credited to a Bank Account in the name of "Wokingham Job Support Centre".
7.2. All cheques shall be signed on behalf of the Organisation by any two of the four Officers, as follows: Chairman, Vice-Chairman, Secretary and Treasurer.
7.3. The Management Committee shall deposit in the name of Wokingham Job Support Centre sums of cash at any time belonging to the Organisation which are not needed for immediate working capital in high interest accounts or invest as specified by the Charity Commission.
7.4. All monies raised by the Organisation can only be applied to the Objects of the Organisation.
7.5. All items of expenditure over two hundred and fifty pounds must be approved by the Management Committee.
7.6. Full accounts shall be kept by the Treasurer and the resultant Income and Expenditure Accounts and Balance Sheets shall be presented to the Annual General Meeting, after having been certified as correct by the Independent Examiner.
7.7. The Financial Year shall run from 1st April to 31st March.
7.8. Certified accounts by the Independent Examiner shall be sent annually to the Charity Commissioners as soon as possible after the Annual General Meeting.
7.9. All assets remaining on Dissolution of the Organisation, after satisfying outstanding debts and liabilities, shall be distributed to a registered Charity or Charities nominated by the Organisation at a General Meeting and having objectives similar to the objectives of Wokingham Job Support Centre.
8.1. Amendments to the Constitution may only be made at the Annual General Meeting or at an Extra-Ordinary General Meeting called for this purpose. All such amendments shall be notified to the Charity Commissioners.
8.2 The Constitution shall not be amended in any way which would cause the Organisation to cease to be a charity at law.
It is declared that the above Constitution, amended on 8th July 1996, was further amended and approved at an Annual General Meeting of Wokingham Job Support Centre, held on Monday, 24th July 2000.
